CONTRACTUAL RELATIONSHIP

Azad Automobile, having its registered office at 2nd Floor, 261 Bepin Behari Ganguly Street, Kolkata 700012,West Bengal, operates a car service center offering a range of automotive services, including maintenance and repair. This partnership agreement establishes a contractual relationship between Azad Automobile (“Company/we/us/our”) and local garages (“Partner Garage/you/your”) entering into a partnership with us.

By entering into this partnership, you agree to abide by these terms and conditions, creating a legally binding agreement between you and Azad Automobile. Should you disagree with these terms, you may choose not to participate in the partnership or terminate the agreement.

The Company reserves the right, in its sole discretion, to change, modify or amend the Terms for complying with the legal or regulatory framework and for other legitimate business purposes, at any time, and the Company will post the amended Terms at the domain of www.azadautomobile.in/terms&conditions. It is your responsibility to review the Terms for any changes and you are encouraged to check the Terms frequently. The Company shall not be under an obligation to notify you of any changes to the Terms and Conditions. If you continue the partnership, after the updated Terms and Conditions have been published, it shall be deemed that you have read and understood and accept the updated Terms and Conditions. Any reference to Terms and Conditions, made herein shall refer to the latest version of the Terms and Conditions.

No information provided on the website shall be considered a substitute for your independent investigation. These Terms are collectively an electronic record in terms of the Indian Contract Act, 1872; the Information Technology Act, 2000, the rules made thereunder; and the amended provisions pertaining to the electronic records in various other statutes as amended by the Information Technology Act, 2000. These Terms are generated by a computer system and do not require any digital or electronic signature.

ELIGIBILITY

By entering into this partnership with Azad Automobile, you hereby represent and warrant the following:

You are at least eighteen (18) years of age and possess the full legal capacity to understand, agree to, and comply with the terms, conditions, obligations, affirmations, representations, and warranties set forth in this agreement.

You are in compliance with all relevant laws and regulations in the country where you operate your garage. You agree to use the partnership services only in accordance with these terms, applicable laws, and in a manner that does not infringe upon the legal rights of Azad Automobile or any third parties.

If you are entering into this partnership on behalf of an organization or business entity, you agree to these terms on behalf of that organization. You further represent that you have the authority to bind the organization to these terms and to act on its behalf in relation to this partnership.

INTELLECTUAL PROPERTY RIGHTS

Azad Automobile retains all rights, title, and interest in and to its intellectual property, including but not limited to trademarks, service marks, logos, domain names, copyrights, trade secrets, and proprietary technology. This encompasses any branding, marketing materials, software, and operational procedures associated with Azad Automobile.

During the term of this partnership, Azad automobile grants the Partner Garage a limited, non-exclusive, non-transferable license to use Azad automobile's trademarks, logos, and branding solely for the purpose of fulfilling obligations under this partnership. This license is granted for the duration of the partnership and may be revoked upon termination of the agreement.

The Partner Garage shall not use Azad automobile’s intellectual property for any purpose other than those expressly permitted by this agreement. Any modifications, adaptations, or derivative works based on Azad automobile’s intellectual property are prohibited unless explicitly authorized in writing.

The Partner Garage retains ownership of its own intellectual property, including any trademarks, service marks, and proprietary processes or technology used independently of Azad automobile. However, the Partner Garage agrees not to use its own intellectual property in a manner that may confuse or mislead customers into believing there is a different affiliation with Azad automobile.

Nothing in this partnership agreement shall be construed as a transfer of ownership rights in any intellectual property. All intellectual property rights remain the sole property of Azad automobile or the Partner Garage, as applicable.

Both parties agree to take reasonable steps to protect each other's intellectual property from unauthorized use, infringement, or misappropriation. Any IP-related disputes or claims arising during the partnership will be addressed in accordance with the provisions of this agreement.

Upon termination of the partnership, the Partner Garage must immediately cease all use of Azad automobile’s intellectual property and return or destroy any materials containing such intellectual property.

GOVERNING LAW

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India and jurisdiction of Delhi, India.

EXCLUSIVE PARTNERSHIP

During the term of this partnership, the Partner Garage agrees not to enter into any similar partnership or agreement with any other company offering automotive services or similar business models that compete directly with Azad automobile. This exclusivity ensures that the Partner Garage dedicates its services and resources solely to Azad automobile, thereby avoiding conflicts of interest and maintaining the integrity of the partnership.

LIMITATION OF LIABILITY

Azad Automobile will not be held responsible for any losses or damages incurred by the Partner Garage. We do not provide any equipment, tools, spare parts, or labor to the Partner Garage. Additionally, Azad Automobile is not responsible for any restoration work or repairs required by the Partner Garage. All responsibilities for maintaining, repairing, and providing necessary equipment and parts remain solely with the Partner Garage.

CONFIDENTIALITY

The Partner Garage agrees to maintain the confidentiality of all information related to Azad automobile, including but not limited to customer information, proprietary procedures, business practices, and any other confidential or sensitive data ("Confidential Information"). The Partner Garage shall not disclose, share, or use such Confidential Information for any purpose other than fulfilling its obligations under this agreement without the prior written consent of Azad automobile. This obligation of confidentiality will remain in effect during the term of the partnership and for a period of 10 years following its termination. Any breach of this confidentiality obligation will be subject to appropriate legal remedies and compensation for damages incurred by Azad automobile.

TERMINATION

Azad automobile may terminate the partnership or any associated service at any time for any reason, including but not limited to a breach of the terms and conditions of this agreement. We reserve the right to deny access to our services or platform at our discretion. Except for the specific rights and licenses granted under this agreement, all other rights are reserved and no additional rights or licenses, implied or otherwise, are granted.

Upon termination or suspension of the partnership, whether temporary or permanent, the Partner Garage will no longer have access to the platform, and any data, messages, or other materials associated with the account will be inaccessible. The Partner Garage may not use the platform under the same or a different account, nor re-register under a new account.

The Partner Garage may terminate this agreement by providing 3 months written notice to Azad automobile. Obligations and liabilities incurred by either party prior to the termination date will survive the termination of this agreement.

If termination occurs due to the Partner Garage's failure to comply with any term or provision, Azad automobile may terminate this agreement immediately without notice. The Partner Garage will remain liable for all amounts due up to and including the date of termination.
